1. Acceptance of Terms
These Terms of Service (“Terms”) are a binding agreement between you and WEAREXALT Inc, a Delaware corporation (“WEAREXALT”, “we”, “us”, or “our”), governing your use of GridScout (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of the Service
GridScout provides real-time Formula 1 and motorsport data and related features, including:
- A Discord bot that delivers statistics, results, standings, schedules, and notifications within Discord servers and direct messages.
- A website with information and documentation.
- A live web application offering live timing and the “Crowd Engineer” predictions experience, available in a browser and as a Discord Activity.
We may modify, suspend, or discontinue the Service (or any part or feature of it) at any time, with or without notice.
3. Eligibility
You must be at least 13 years old, and meet any higher minimum age required by Discord or by the laws of your country, to use the Service. By using GridScout, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.
4. Your Discord Account and Sign-In
The Service is accessed through Discord. You are responsible for your Discord account and for complying with Discord’s Terms of Service and Community Guidelines. When you sign in to our live web application using Discord, you authorise us to receive certain account information as described in our Privacy Policy. You are responsible for maintaining the confidentiality of your access and for all activity that occurs under your account.
5. User Conduct
You agree not to:
- Use the Service for any unlawful, harmful, or fraudulent purpose.
- Abuse, harass, spam, or otherwise misuse the Service or interfere with other users’ enjoyment of it.
- Attempt to gain unauthorised access to, disrupt, overload, or circumvent the security or rate limits of the Service.
- Reverse-engineer, decompile, scrape, or create derivative works from the Service, except to the extent such restriction is prohibited by law.
- Use automated means to access the Service in a manner that violates these Terms or Discord’s policies.
You are solely responsible for your interactions with the Service and any content or input you provide.
6. Server Administrators
If you add GridScout to a Discord server or configure its features, you represent that you have authority to do so for that server. You are responsible for the channels, roles, webhooks, and notification settings you configure, and for ensuring that your configuration and use of the Service comply with applicable law and the expectations of your server’s members. We are not responsible for the conduct of server administrators or for content distributed within servers you control.
7. Crowd Engineer and Predictions
The “Crowd Engineer” predictions feature and any associated points or scores are provided for entertainment and engagement purposes only. Points have no monetary value, cannot be redeemed or exchanged for anything of value, and do not constitute betting, wagering, or gambling of any kind. We may adjust, reset, or remove predictions and points at any time, including to correct errors or maintain the integrity of the feature.
8. Intellectual Property
The Service, including its code, design, branding, and data compilations, is owned by WEAREXALT and its licensors and is protected by intellectual-property laws. Except as expressly permitted, you may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written permission.
Emoji usage: Any Apple emojis used within the Service are subject to Apple’s intellectual-property rights and usage guidelines. Their inclusion is solely to enhance the user experience and does not imply any endorsement by or affiliation with Apple.
9. Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read it.
10. Third-Party Services and Data Sources
The Service depends on and integrates with third-party platforms and data providers, including Discord and motorsport data sources. We are not responsible for the availability, accuracy, content, or practices of those third parties, and your use of them may be subject to their own terms.
11. Disclaimers
As-is basis: The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
No guarantee of accuracy: While we strive for accuracy, we do not warrant that the statistics, timing, or information provided are complete, current, or error-free. You use the Service’s data at your own risk and must not rely on it for any safety-critical, financial, or wagering decisions.
Affiliation disclaimer: GridScout is not affiliated with, endorsed by, or associated with Formula 1, the FIA, MotoGP, or any other motorsport organisation, series, team, or governing body. All trademarks, logos, and branding remain the property of their respective owners.
12. Limitation of Liability
To the maximum extent permitted by law, WEAREXALT and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, profits, or goodwill, arising out of or relating to your use of (or inability to use) the Service. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service shall not exceed one hundred United States dollars (US$100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless WEAREXALT and its officers, employees, and agents from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service or your violation of these Terms or of any applicable law or third-party right.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to the Service or other users. You may stop using the Service at any time, including by signing out and removing the bot from your servers. Provisions that by their nature should survive termination (including Sections 8, 11, 12, 13, and 15) shall survive.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to personal jurisdiction in those courts.
16. Modifications to the Terms
We may update or modify these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
17. Miscellaneous
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, constitute the entire agreement between you and WEAREXALT regarding the Service.
